As per Turkcell's Corporate Governance Guidelines, the Board should conduct a self-evaluation on an annual basis. The Board of Directors must determine performance targets for the Company, and therefore, the Chief Executive Officer and Chief Financial Officer each year. In line with the financial and other targets specified, the Board of Directors, with the assistance of the Corporate Governance Committee, must evaluate the performance of the Chief Executive Officer and of the Chief Financial Officer at the end of each year and, determine their remuneration. The Board of Directors, taking into consideration the recommendations of the Corporate Governance Committee and with the assistance of the Chief Executive Officer, will review and approve the plan for successions to the posts of Chief Executive Officer and the Chief Financial Officer.
